Welcome to Fieldhouse NY. These Terms of Service (“Terms”) govern your access to and use of fieldhouseny.com (the “Site”), including any content, functionality, and services offered on or through the Site. The Site is owned and operated by Fieldhouse NY, an LLC organized under the laws of the State of New York (“we,” “us,” or “our”).

By accessing or using the Site, or by purchasing any products or services from us, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Site.

II. Terms of Use

License and Website Access

We grant you a limited, non-exclusive, revocable, non-transferable license to access and make personal, non-commercial use of the Site as a customer. This license does not include any right to: reproduce, duplicate, copy, sell, resell, or otherwise exploit the Site or any product images, listings, descriptions, prices, page layouts, designs, trade dress, trademarks, logos, or other content (“Website Content”) for any commercial purpose, except as expressly permitted; use any robot, spider, scraper, data mining tool, or automated process to monitor, extract, or copy Website Content (except for standard search engines or hit counters); use any meta tags, hidden text, or keywords containing our name, trademarks, or the Site’s name; interfere with the proper working of the Site or any other user’s use of the Site; modify, create derivative works from, reverse engineer, decompile, or disassemble any technology used to provide the Site; or assist or encourage any third party to engage in any of the above activities. Any unauthorized use automatically terminates the license granted to you.

Electronic Communications

By using the Site or providing your email address, you consent to receive communications from us by email (including promotional emails). All agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. If you opt in to receive SMS/text messages (if/when available), additional Mobile Terms will apply. Your consent is not required to purchase goods or services. You must be at least 18 years old and either the account holder or have the account holder’s permission. Message and data rates may apply. You may opt out at any time.

Your Account

If you create an account on the Site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your device. You agree to accept responsibility for all activities that occur under your account. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.

Intellectual Property – Copyright

All Website Content is our property or the property of our content suppliers and is protected by United States and international copyright laws. Purchasing a product does not transfer any copyright or other intellectual property rights in that product. The arrangement and compilation of all Website Content is our exclusive property. All software used on the Site is our property or the property of our suppliers and is protected by copyright laws.

Intellectual Property – Trademarks

Certain graphics, logos, page headers, button icons, scripts, and service names are our trademarks, service marks, or trade dress. Our trademarks may not be used for any commercial purpose without our prior written consent. All other trademarks appearing on the Site are the property of their respective owners.

Copyright & Trademark Complaints

We respect the intellectual property rights of others. If you believe that any content on the Site infringes your copyright or trademark, please notify us promptly at artsales@fieldhouseny.com with the required details (description of the work, location on the Site, your contact information, etc.). Upon receiving a valid notice or becoming aware of potential infringement, we will remove or disable access to the allegedly infringing material pending investigation. We do not manufacture or create most products ourselves; we source them from third-party suppliers who represent they have the necessary rights.

User Content (Reviews, Comments, etc.)

You may post reviews, comments, suggestions, or other content on the Site or through our social channels. You agree not to post any content that is unlawful, harmful, obscene, defamatory, harassing, invasive of privacy, infringing of intellectual property rights, or that constitutes spam, chain letters, or commercial solicitation. By submitting content, you grant us a royalty-free, perpetual, irrevocable, worldwide, non-exclusive license to use, reproduce, modify, publish, edit, translate, distribute, perform, and display that content (including your username) in any media now known or later developed, without compensation to you. You represent that you own or have the necessary rights to the content you submit. We reserve the right (but have no obligation) to edit or remove any content we deem objectionable. You agree to indemnify and hold us harmless from any claims arising from your content. We take no responsibility and assume no liability for any user-posted content.

Suggestions and Ideas

Any suggestions, ideas, or feedback you submit to us (e.g., via email to artsales@fieldhouseny.com) may be used, disclosed, reproduced, modified, or exploited by us in any manner without compensation or attribution to you.

Third-Party Links and Services

The Site may contain links to or integrate services provided by third parties. We have no control over these third-party services and provide them for your convenience only. You access them at your own risk, and any concerns should be directed to the third party.

Limitation of Liability

To the fullest extent permitted by law, we are not liable for any damages of any kind arising from your use of the Site or any products purchased, including but not limited to direct, indirect, incidental, punitive, or consequential damages. We do not warrant that the Site, its servers, or emails sent from the Site are free of viruses or other harmful components. Some jurisdictions do not allow certain limitations of liability, so the above may not apply to you to the extent prohibited by law.

III. Terms of Sale

These Terms of Sale apply to all offers, purchases, orders, and agreements between you and Fieldhouse NY, LLC (“we,” “us,” or “our”) relating to any products or services offered or sold through the Site. By placing an order you agree to these Terms of Sale in their entirety.

Orders and Acceptance

All orders are subject to acceptance by us in our sole discretion. We reserve the right to refuse, cancel, or limit any order for any reason, including (without limitation) errors in pricing or product information, suspected fraudulent activity, payment issues, or product unavailability. If we cancel an order after payment has been processed, we will issue a refund to the original payment method. Your sole remedy in the event of cancellation is the refund of amounts actually paid (if any). We do not guarantee that any product displayed on the Site will be available at the time of your order.

Pricing and Payment

All prices displayed on the Site are in U.S. dollars and are subject to change without notice. We strive for accuracy, but a small number of items may be mispriced due to technical errors, system glitches, or other reasons. We charge your chosen payment method immediately upon placement of your order. By submitting your order, you authorize us to charge the full amount (including taxes, shipping, and any applicable fees) to the payment method you provided. You represent and warrant that you are authorized to use that payment method and that the information you supply is accurate and complete. If an item’s correct price is higher than the price shown on the Site at the time of your order, we will notify you as soon as possible. You will then have the option to either proceed with the purchase at the correct price or cancel the order and receive a full refund of any amounts already charged. We are under no obligation to fulfill any order placed at an incorrect lower price. All payments are final and non-refundable except as expressly provided in our return policy.

Sales Tax

Sales tax will be calculated and collected where required by law. Items picked up at our location in New York or shipped to addresses in New York (or any other state or jurisdiction where we have established sales tax nexus) are subject to applicable sales tax. Our determination of nexus and tax collection is based on current law and may change. You are responsible for any additional taxes, duties, tariffs, or fees imposed by your local jurisdiction that are not collected by us at checkout.

Product Descriptions, Images, and Information

We strive for transparency and accuracy in our product descriptions, images, specifications, pricing, and other information on the Site. However, we do not warrant that any such content is complete, accurate, reliable, current, or error-free. Product colors, dimensions, weights, textures, and other attributes may appear differently in person due to variations in monitors, lighting, photography, or manufacturing. Minor variations in handmade, limited-edition, or artisanal products are to be expected and do not constitute a defect. If a product you receive is drastically and materially different from the description on the Site (and not due to normal variation), your sole and exclusive remedy is to return the unused item in accordance with our Return Policy for a replacement, refund, or a store credit at our option. We are not liable for any consequential, incidental, or indirect damages arising from any inaccuracy or error in product information.

Disclaimer of Warranties

ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, OR AUTHENTICITY. WE DO NOT WARRANT THAT THE PRODUCTS WILL MEET YOUR EXPECTATIONS, BE ERROR-FREE, OR BE UNINTERRUPTED IN AVAILABILITY. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE ABOVE MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

Authenticity of Artwork

We take reasonable steps and precautions to verify and present information about the authorship, provenance, and authenticity of the artworks offered on the Site based on information available to us at the time of listing. However, we make no representation, warranty, or guarantee whatsoever regarding the authenticity, attribution, provenance, or genuineness of any artwork listed on the Site. All artworks are sold strictly “AS IS” with respect to authenticity. You acknowledge and agree that determining the authenticity of fine art can be inherently uncertain and may require expert examination, scientific testing, or other due diligence that is beyond the scope of our standard practices. We disclaim any and all liability for inauthentic, forged, misattributed, or counterfeit works, including any claims arising under the New York Arts and Cultural Affairs Law, the Uniform Commercial Code, or any other federal, state, or international law. Any statements, descriptions, or attributions on the Site or in the accompanying materials are for informational purposes only and do not create an express or implied warranty of authenticity. Buyers are strongly encouraged to conduct their own independent investigation and obtain professional authentication before purchasing, particularly for high-value works. Our sole obligation in the event an artwork is later determined to be inauthentic is limited to accepting a timely return in accordance with our Return Policy (if the item remains in original, unused condition), at which point we may issue a refund or store credit at our discretion. We shall have no further liability, including for any diminution in value, consequential damages, expert fees, legal costs, or replacement costs.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, LOSS OF DATA, OR COST OF SUBSTITUTE GOODS), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AND CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OF SALE, THE SITE, OR ANY PRODUCTS PURCHASED SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO US FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM. This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so the above may not apply to you to the extent prohibited.

No Financial or Consequential Damages

We are not liable for any financial loss, including (but not limited to) the cost of any replacement purchase, lost profits, expert authentication fees, legal costs, or other damages that may result from delayed shipping, product unavailability, non-conformity, inauthenticity, or any other issue with your order.

Indemnification

You agree to defend, indemnify, and hold us harmless from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Sale, your misuse of any product, any claim regarding authenticity brought by you or a third party, or your breach of any representation or warranty.

Shipping, Delivery and Risk of Loss

Shipping and delivery dates are estimates only and are not guaranteed. We are not responsible for delays caused by the carrier, customs, weather, strikes, supply chain disruptions, or any other event beyond our reasonable control (Force Majeure). Title to and risk of loss for products pass to you upon delivery by the carrier to the shipping address you provided (or upon pickup if applicable). We are not liable for loss, damage, delay, or failure to deliver caused by the shipping carrier. Any claims of damaged or lost shipments must be filed directly with the carrier. We may assist you with such claims at our discretion, but we make no guarantees. You are responsible for inspecting packages upon receipt and notifying us promptly of any visible damage.

Insurance and Signature Requirements

All shipments sent by us require both shipping insurance and signature confirmation. Insurance is automatically added to all orders to protect against loss or damage during transit. Signature confirmation is required upon delivery to ensure that the package is received by the intended recipient. By placing an order, you agree to these requirements and acknowledge that refusal or inability to provide a signature may result in delays or additional delivery attempts by the carrier.

Packing and Handling Documentation

To ensure that all items are shipped in the condition represented at the time of sale, our packing and handling process is recorded and documented. This documentation may include video or photographic records of the item’s condition and packaging prior to transfer to the carrier. These records may be used to verify the condition of the item at the time it left our possession and to assist in resolving any disputes related to damage or loss during transit.

Returns and Refund Policy

  1. General Policy — The Buyer acknowledges and agrees that all artwork is sold as-described, and that returns are permitted only under the limited, expressly defined circumstances set forth in this Policy. Return eligibility is strictly limited to (i) claims of material misrepresentation as defined in Section 2, or (ii) substantiated authenticity concerns as defined in Section 3. No other grounds for return — including, without limitation, buyer’s remorse, change of preference, or subjective dissatisfaction — shall be accepted.
  2. Returns Based on Material Misrepresentation — A return may be considered only where the Buyer asserts that the artwork received is materially different from the description published on our website. Requirements: The Buyer must submit a written return request via email to artsales@fieldhouseny.com within four (4) calendar days of confirmed delivery. The artwork must remain in original, unused, and unaltered condition, including all original packaging and materials. The Buyer must provide clear, detailed photographic evidence substantiating the claim of material misrepresentation. All approved returns under this Section shall be subject to a fifteen percent (15%) restocking fee. Return requests submitted after the four-day window shall not qualify under this Section.
  3. Returns Based on Authenticity Concerns — If the authenticity of the artwork is later disputed, a return may be considered under the following conditions. Requirements: The Buyer must submit the claim within six (6) months of delivery. The Buyer must provide verifiable, documented proof from a nationally recognized authentication authority. The artwork must be returned in original, unused, and unaltered condition. All approved returns under this Section shall be subject to a twenty percent (20%) restocking fee. We reserve the right to independently evaluate or verify any authenticity claim prior to issuing authorization.
  4. Late Return Requests — Any return request submitted after the initial four (4) calendar day window, and not based on authenticity concerns under Section 3, shall be considered only if the request is based on a valid ground expressly identified in Section 2 (material misrepresentation). Approval of any late return request is entirely at our sole and exclusive discretion, and all approved late returns shall incur a thirty percent (30%) restocking fee.
  5. Non-Returnable Situations — Returns will not be accepted under any of the following circumstances: Buyer’s remorse, change of mind, or subjective dissatisfaction; Artwork that has been opened, displayed, altered, handled, or damaged after delivery; Artwork returned without prior written authorization; Artwork not shipped back in original condition and original packaging; Artwork shipped without required insurance and signature confirmation; Failure to comply with any requirement of this Policy.
  6. Packing and Handling Documentation — To ensure transparency and to protect both parties, our packing and handling process is recorded and documented, which may include video or photographic evidence. Such documentation may be used to verify the condition of the artwork at the time it was transferred to the carrier and to evaluate any return request or dispute.
  7. Return Shipping Requirements — If a return is authorized: The Buyer is solely responsible for all return shipping costs. The artwork must be shipped using a trackable service with insurance and signature confirmation. Item(s) being returned must be safely and securely packaged to prevent damage during transit. It is recommended that the buyer uses the original packaging. If use of the original packing material is not possible, the buyer must use comparable materials (e.g. boxes, padding, wrapping, etc.) to ensure that the item(s) arrives to us in its original undamaged condition. The artwork must be returned within five (5) calendar days of receiving written authorization. Failure to comply with these requirements may result in denial of the return.
  8. Refunds — Refunds will be issued only after the artwork has been received and inspected by us. Refunds are issued at our sole discretion. Original shipping, handling, insurance, and packaging fees are non-refundable. Applicable restocking fees (15%, 20%, or 30%) will be deducted from the refund amount. Refunds will be issued to the original payment method, or, if mutually agreed upon by both the Buyer and us, store credit may be issued in lieu of a monetary refund. Inspection and processing may require up to ten (10) business days following receipt. If the artwork is returned damaged, altered, incomplete, or not in the condition required under this Policy, no refund or store credit will be issued.

IV. Disputes and Governing Law

Binding Arbitration (with Important Note)

Any dispute or claim relating in any way to your use of the Site, your purchases from us, or these Terms will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, to the extent permitted by applicable law. However, because you are located in or ordering from New York (or we are a New York business), certain New York laws may limit or prohibit the enforcement of mandatory arbitration clauses in consumer contracts for the sale of goods. If arbitration is not enforceable under applicable law, any dispute will instead be resolved in the state or federal courts located in Saratoga County, New York. You and we agree that any proceedings will be conducted on an individual basis only — not as a class, consolidated, or representative action. We each waive any right to a jury trial to the extent permitted by law. Either party may seek injunctive relief in court for misuse of intellectual property rights.

Applicable Law

These Terms and any disputes are governed by the laws of the State of New York and applicable federal law, without regard to conflict of laws principles.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
